Terms and Conditions

1. Scope of Services

Heristat provides professional technical and engineering consultancy for the Italian real estate market. To ensure transparency and effective risk management, services are divided into two distinct levels:

  • Phase 1: Desk Study (Preliminary Advisory): A high-level technical review based strictly on documentation provided by the Client or third parties (e.g., vendors, agents). This phase is a "red-flag" analysis and does not include site visits or physical inspections.

  • Phase 2: Advanced Due Diligence (Technical Audit): A comprehensive engineering assessment involving on-site inspections, structural evaluations, and direct verification with local administrative bodies (Comune, Catasto).

2. Professional Liability & Limitations
  • Desk Study Limitation: Heristat’s liability for Phase 1 is limited to the professional interpretation of provided documents. We are not liable for latent defects, structural issues, or regulatory non-compliance not visible in the provided paperwork.

  • Third-Party Data: Heristat assumes no responsibility for the accuracy, truthfulness, or completeness of data, plans, or titles provided by vendors, real estate agencies, or public authorities.

  • Cap on Liability: To the maximum extent permitted by law, Heristat’s total liability for any claim arising from the services provided shall not exceed the total fees paid by the Client for that specific service.

3. Fees and Payment Terms
  • Payment Schedule: For Phase 1 (Desk Study), payment is required in full and in advance to initiate the review. For Phase 2 (Advanced Due Diligence), a deposit of 50% is required upon engagement, with the balance due upon delivery of the final report.

  • Non-Refundability: Fees are paid for professional time and technical expertise. If a Desk Study identifies risks that lead the Client to withdraw from a purchase, the fee remains non-refundable as the advisory service has been fully performed.

  • Additional Costs: Fees cover consultancy only. External costs (e.g., municipal fees for accesso agli atti, laboratory testing, or topographic surveys) are the responsibility of the Client.

  • International Transfers: All bank fees related to international transfers (non-SEPA) are the responsibility of the Client.

4. Not Legal or Tax Advice

Heristat provides technical engineering consultancy only.

  • Our reports do not constitute a Legal Opinion or Tax Advice.

  • The Client is strongly advised to consult with qualified legal and tax professionals to complement our technical findings.

5. Intellectual Property & Validity
  • Exclusive Use: Reports are issued for the Client's private use regarding a specific transaction. They may not be assigned or disclosed to third parties (e.g., banks or subsequent buyers) without prior written consent.

  • Validity: Reports are valid for six (6) months from the date of issuance due to potential changes in local urban planning and environmental regulations.

6. Independent Status

Heristat operates as an independent consultancy. We do not accept commissions from vendors or real estate agents. Our "Buyer’s Only" advocacy ensures that our technical opinions are free from conflicts of interest.

7. Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with Italian Law. Any disputes arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the Courts of Ravenna, Italy.

8. Acceptance of Terms

By commissioning a Desk Study or Advanced Due Diligence, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
